Season synopsis

Mike begins as an investment banker at Sidwell, trying to shield Pearson Specter from his fraud. His major project is a takeover bid for Gillis Industries to preserve jobs, while Harvey represents Logan Sanders, who wants to dismantle the company. Mike refuses Logan's offer to walk away, and Rachel's history with Logan complicates the fight. When Mike needs funding, he turns to Charles Forstman, whose help carries a hidden cost. Meanwhile, SEC prosecutor Sean Cahill investigates the deal, and Louis manages share transactions that put the firm under regulatory scrutiny.
Louis persuades Forstman to sell his Gillis shares to Logan, ending the takeover, but agrees to route the money through the Cayman Islands. Forstman then tells Sidwell that Mike agreed to cut him out of a commission, costing Mike his job. When Forstman offers Mike work, Louis arranges his return to Pearson Specter, protecting both Mike and his own role in the tax scheme. The firm clears the SEC case, but Louis resigns after Jessica decides he cannot be trusted. His discovery of Mike's fraud comes afterward.
Mike asks about the key Louis received for the Order of the Coif, an honor Louis says is associated with top Harvard Law graduates. Because Mike's transcript says he earned that distinction, his failure to recognize the key makes Louis realize he never attended Harvard. Louis demands name partnership in exchange for silence, and Jessica agrees: the firm becomes Pearson Specter Litt. Jeff Malone learns Jessica misled him about what Louis knew and leaves both the relationship and firm. Donna works for Louis after leaving Harvey, while Mike proposes to Rachel and she accepts.
